This copyright transfer agreement is made to transfer the use of intellectual property rights of the following brand name (Finalized name):

This Agreement relates to the sale and transfer or license of Intellectual Property Rights of the name which is created by the Company for a Customer. This Agreement will apply to you in your capacity as either a Customer or 99Logos in respect of the sale and transfer or license of a Name. When a Customer selects a Final name suggestion for their Project, the Customer, and the Company will be deemed to have entered into a legally binding agreement for the provision of that Name suggestion from the Company to the Customer, in each case upon the terms of this Agreement as set out below unless the Customer and the Company otherwise separately agree in writing.

Parties

The parties to this Agreement are the Customer and the Company which the Customer selects in respect of a Name suggestion Project hosted by the Customer.
Date of this agreement
This Agreement is entered into between the Customer and the Company on the date that the Customer selects the relevant Name as part of a Project.
Company's services agreement
By using 99Logos.in, the Customer has agreed to be bound by the Company's Terms of Use.

Terms

The following terms and conditions will apply to the Customer in both your capacity as a Customer and as an entity.

1. Definitions

Terms defined in the Services Agreement will have the same meaning in this Agreement.

2. Provision of the Name

The Company hereby agrees to provide and deliver the Name suggestion usability rights of the Finalized name to the Customer in accordance with the Company's obligations set out in the Services Agreement.

3. Assignment of the intellectual property rights

a) This clause will apply if a Customer has purchased the Name pursuant to a Project.
b) If this clause applies, then upon receipt of payment for the Name in the form of Company's Payment (pursuant to the terms of the Services Agreement), the Company hereby assigns to the Customer, all Intellectual Property Rights which the Company has or may in the future have in the Transferred Name.

4. Liability of the Company

The Customer acknowledge and agree:

a)The Company will not be liable if the trademark gets rejected or faces any legal consequences by registering it. The Trademark Registration process takes 6 to 18 months to get registered, so there is a slight possibility that someone can also go for a similar name, because of such reasons, nobody can give you a 100% guarantee to get your trademark registered.
b) The Company will not liable if the Customer fails to register the name in ROC as soon as the project gets completed.
c) The Company will not liable if the Customer fails to register the website domain name with any domain extension(s).
d) The Company is only charging the professional fees for the name suggestion which was provided after doing the initial checks for ROC availability, TM availability of respective class(es), and domain availability. other than this, the Company will not be liable for the expenses of the registrations such as ROC, TM, Domain, and else.

7. Miscellaneous

Excepting the Finalized name, names provided by the Company (According to the NDA signed by the Customer) will still be the property of the Company and the Customer can not claim or use any name for business or personal purpose, even Customer can not suggest, transfer or handover the name(s) to other person, people or other entity. And all the terms will be applicable according to the NDA signed by the Customer.
